Terms of Use
Inventive Talent Consulting and our affiliates (“Inventive Talent,” “we,” “us”) provide the Inventive Talent Survey™ of Board Effectiveness (the “Survey”) to assist our Customers in evaluating and enhancing board effectiveness.
By accessing and using the Survey, you agree to these terms of use (“Terms of Use”). If you do not agree with these Terms of Use, do not use the Survey.
All content provided in the Survey is Intellectual Property owned by Inventive Talent. Content that can be seen, heard or otherwise experienced in the Survey or through related Services are protected by U.S. and international copyright, trademark and other laws, and belong to Inventive Talent or its partners, affiliates or third parties.
You may not download any content on the Survey without Inventive Talent’s prior written consent. You may not transmit, distribute, publish or otherwise share the Survey content or portions of the contents in any media format with any other party. You may not modify, alter, sell, license, rent, or transfer the Survey content, create derivative works from any content, or delete or change any copyright or trademark notice. No right, title or interest in any downloaded content is transferred to you as a result of any downloading. Inventive Talent retains complete title and full intellectual property rights in any and all Survey content.
You may not mirror or frame any pages or displays of this Survey on any other web app or web page. You may not connect “deep links” to the Survey, i.e., create links to this Survey that bypass the home page or other parts of the Survey. You are prohibited from using any of the marks or logos appearing throughout the Survey without express written consent from the trademark owner, except as permitted by applicable law.
Except for any warranties provided under an engagement letter, Inventive Talent makes no express or implied warranties, representations or endorsements whatsoever with respect to the Survey, related Services or the Content. Further, Inventive Talent expressly disclaims all warranties of any kind, express, implied, statutory or otherwise, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
Inventive Talent does not warrant that the functions performed by the Survey or the Services will be uninterrupted, timely, secure or error-free, or that defects in the Survey or the Services will be corrected. Inventive Talent does not warrant the accuracy or completeness of the Content, or that any errors in the Content will be corrected. The Survey, the Services and the Content are provided on an “as is” and “as available” basis.
Inventive Talent will not be liable under any circumstances for any damages whatsoever, including, but not limited to: (i) any direct, incidental, consequential, exemplary or indirect damages arising out of the use of or inability to use the Survey, the Services, or the Content; (ii) any claim attributable to errors, omissions, or other inaccuracies in the Survey, the Services or the Content; (iii) unauthorized access to or alteration of transmissions or data; (iv) statements or conduct of any third party on the Survey or the Services; or (v) any other matter relating to the Survey, the Services, or the Content, even if Inventive Talent has been advised of the possibility of these damages.
If you are dissatisfied with the Survey, the Services, the Content, or with the Terms of Use, your sole and exclusive remedy is to discontinue using the Survey. By using the Survey, you acknowledge that your use is at your sole risk.
Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, some of the above limitations may not apply to you. In these states, Inventive Talent’s liability is limited and warranties are excluded to the greatest extent permitted by law, but will, in no event, exceed $500.00.
You are personally responsible for your use of the Survey. You will indemnify, defend and hold harmless Inventive Talent, its affiliates, licensors, employees, and agents from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable attorneys’ fees, resulting from or arising out of your use, misuse, or inability to use the Survey, the Services, or the Content, or any violation by you of these Terms of Use.

You must not: (a) take any action that might compromise the security of the Survey, render the Survey inaccessible to others or otherwise cause damage to the Survey or the Default Content; (b) use the Survey in any manner that might interfere with the rights of third parties; and (c) post or transmit any content or information that contains a virus or corrupted data.
Inventive Talent may discontinue any feature or module of the Survey for all users of the Survey at any time for any reason with 30 days written notice.

Privacy Policy
Inventive Talent Consulting and our affiliates (“Inventive Talent,” “we,” “us”), as a premier provider of talent management solutions, share your concerns about the protection of personal information. We take the security of your information seriously and want you to be familiar with our privacy practices regarding the collection and use of personal information collected through our software applications and websites (collectively, the “Online Systems”).
By using the Online Systems, you signify your agreement with this Policy. If you do not agree to this Policy, do not use the Online Systems.
Personal Information We Collect
Inventive Talent collects personal information about individuals for use in talent reviews conducted by our customers. Information may include, but not be limited to, name, job title, position level, anticipated long-term position level, readiness for advancement, peer or manager rating of leadership competencies, peer or manager rating of performance, and peer or manager rating of potential. Additionally, notes about individual candidates may be entered by rating managers or peers.
How We Use the Information We Collect
Collected information is encrypted and stored in a secure database dedicated to the customer. Inventive Talent never discloses this information to any other party. We do not manipulate or alter the stored data, but we may use aggregated data for research purposes. In no case will individuals be associated with any research conducted by Inventive Talent. All published research findings will refer only to aggregated data and will not identify any individual or include results attributable to any individual. Any end-product produced by us, for example, norms by industry or region, will be de-personalized so no individual can be identified. Research by Inventive Talent is used to enhance our products and services, conduct and validate ongoing research studies, compile reports, and publish articles that advance the science of talent management. Such aggregate and de-personalized information is not considered personal information for purposes of this Policy, and we may use it for any purpose.
Security
Inventive Talent has reasonable technical measures in place to protect against the loss, misuse, and alteration of personal information stored by our Online Systems which is under our control. Unfortunately, however, no security system or system of transmitting personal information over the internet can be guaranteed to be 100% secure. If you have reason to believe your interaction with us is no longer secure (for example, if you feel that the security of any account you might have with us has been compromised), please notify us immediately by contacting us in accordance with the “Questions” section below.
Retention Period
We will retain personal information for the purposes necessary to fulfill the purposes outlined in this Policy unless a longer retention period is required or allowed by law.
Links to Other Websites
This Policy does not address, and we are not responsible for, the privacy, information, or other practices of our Vendors or of any other third parties. On the Online Systems, you may have the opportunity to follow a link from or to other websites maintained by our affiliates, Vendors, or other third parties. The inclusion of a link on our Online Systems does not imply our endorsement of the linked site. Because these other websites may not be hosted or controlled by Inventive Talent, this Policy does not address the privacy policies of each of those websites.
Updates to This Policy
Inventive Talent reviews its privacy practices from time to time, and those practices are subject to change. We ask you that you periodically review this page to ensure continuing familiarity with the most current version of this Policy. You can determine when this Policy was last revised by checking the “Revised Date” legend at the bottom of the Policy. Any changes to the Policy will become effective upon posting of the revised Policy on the Internet and accessible through this site. Use of the Online Systems following such changes constitutes your acceptance of the revised Policy then in effect.
Summary of Policy
This Policy is the sole authorized statement of Inventive Talent’s practices with respect to the online collection of personal information through the Online Systems and the usage of such personal information. Any summaries of this Policy generated by third party software or otherwise (for example, in connection with the “Platform for Privacy Preferences” or “P3P”) shall have no legal effect, are in no way binding upon Inventive Talent, shall not be relied upon in substitute for this Policy, and neither supersede nor modify this Policy.
